PLEASE READ THESE TERMS OF SERVICE ("AGREEMENT") CAREFULLY BEFORE USING THE CLAIMAI SERVICE. THIS AGREEMENT IS A LEGALLY BINDING CONTRACT BETWEEN YOU ("USER," "YOU," OR "YOUR") AND MEDSYSTUM ("COMPANY," "WE," "US," OR "OUR"). BY ACCESSING OR USING THE SERVICE, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THIS AGREEMENT. IF YOU DO NOT AGREE, YOU MUST NOT ACCESS OR USE THE SERVICE.
Note: This is a placeholder agreement provided for the initial release of the marketing website and does not constitute legal advice. It will be replaced with final, counsel-reviewed terms before general availability.
"Service" means MedSystum, the medical claim reconciliation service provided by MedSystum, including the website at medsystum.com and all related software and functionality.
"Your Data" means all data you submit to the Service, including 835/ERA remittance files and any protected health information ("PHI") contained therein.
We may offer a free retrospective audit of your remittance data. Before you transmit any PHI, the parties shall execute a Business Associate Agreement ("BAA"). The free audit is provided without charge and without obligation. The resulting Recovery Report is provided for informational purposes; recovery outcomes are not guaranteed.
Subject to your compliance with this Agreement, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal business purposes. You shall not reverse engineer, resell, or misuse the Service, nor submit data you are not authorized to disclose.
The retrospective audit is free. Ongoing recovery services are offered on a contingency basis (a share of dollars actually recovered) or as a flat per-provider subscription, as set out in a separate order form or statement of work. Fees, if any, are stated in United States Dollars.
We process Your Data in accordance with our Privacy Policy and the applicable BAA, which are incorporated herein by reference. We implement commercially reasonable safeguards to protect Your Data, including encryption in transit and at rest and access controls.
NOTWITHSTANDING THE FOREGOING, NO METHOD OF ELECTRONIC TRANSMISSION OR STORAGE IS COMPLETELY SECURE, AND WE DO NOT WARRANT OR GUARANTEE THE ABSOLUTE SECURITY OF YOUR DATA.
THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND. RECOVERY REPORTS ARE BASED ON THE DATA YOU PROVIDE AND SHOULD BE VERIFIED INDEPENDENTLY BEFORE RELYING UPON THEM FOR FINANCIAL, BILLING, OR COMPLIANCE PURPOSES. WE DO NOT GUARANTEE ANY PARTICULAR RECOVERY AMOUNT OR OUTCOME.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL MEDSYSTUM BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES. OUR TOTAL AGGREGATE LIABILITY SHALL NOT EXCEED THE AMOUNTS PAID BY YOU TO US IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
This Agreement shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.
